Terms & Conditions
Please read these Terms & Conditions carefully before placing any order with BlueDiesel. By submitting an order, making payment, or accepting delivery of any product, you agree to be bound by these Terms in their entirety.
1. Definitions
In these Terms & Conditions:
- “Company”, “we”, “us”: refers to BlueDiesel and its authorised representatives;
- “Buyer”, “you”, “Customer”: refers to the business entity or person placing an order;
- “Products”: refers to AdBlue® (AUS32), DPF Cleaner, and any other goods supplied by the Company;
- “Order”: refers to a confirmed purchase request submitted by the Buyer;
- “Delivery Order (DO)”: refers to the document issued upon dispatch of Products.
2. Application of Terms
These Terms & Conditions apply to all sales, quotations, and supply arrangements entered into between the Company and the Buyer. Any conflicting terms in the Buyer’s own purchase orders or documentation shall not apply unless expressly agreed to in writing by a director or authorised officer of the Company. These Terms supersede all prior verbal or written representations.
3. Orders and Acceptance
3.1 All orders are subject to acceptance by the Company. Acknowledgement of receipt of an order does not constitute acceptance. An order is accepted only when the Company issues a written confirmation or proforma invoice.
3.2 The Company reserves the right to decline any order without obligation to provide a reason.
3.3 Once an order has been confirmed and payment received (where applicable), the order cannot be cancelled or amended without the Company’s written consent. A cancellation or amendment fee may apply.
3.4 Minimum order quantities may apply and will be stated in the Company’s quotation.
4. Pricing and Payment
4.1 Prices quoted are in Malaysian Ringgit (MYR) and are exclusive of SST, delivery charges, and other applicable taxes unless stated otherwise.
4.2 Prices are valid for the period stated in the quotation. The Company reserves the right to adjust prices for unconfirmed orders without notice.
4.3 Payment terms will be stated in the invoice. Unless otherwise agreed in writing, payment is due before delivery or on delivery (COD). The Company may require full advance payment for first-time buyers or for orders below the minimum credit threshold.
4.4 Late payment will attract interest at the rate of 1.5% per month on the outstanding balance, calculated from the due date until the date of full payment.
4.5 The Company reserves the right to suspend supply to any Buyer with outstanding overdue payments.
5. Delivery
5.1 Delivery dates provided by the Company are estimates only and do not constitute a contractual commitment. The Company shall not be liable for any loss arising from delays in delivery.
5.2 Risk of loss or damage to the Products passes to the Buyer upon delivery to the Buyer’s nominated address or upon collection from the Company’s premises, whichever occurs first.
5.3 The Buyer is responsible for ensuring that adequate facilities and personnel are available to receive the delivery at the agreed time and location.
5.4 The Buyer must inspect all Products upon delivery and note any discrepancy, damage, or shortage on the delivery order before signing. Failure to do so will be taken as acceptance that the delivery was complete and in good condition.
5.5 Delivery charges, where applicable, are borne by the Buyer and will be stated in the invoice or quotation.
6. Product Suitability — Buyer’s Responsibility
6.1 The Buyer is solely responsible for determining whether the Products ordered are suitable and compatible for its intended application, equipment, and operating conditions.
6.2 The Company may provide technical information or guidance as a general reference only. Such information does not constitute a recommendation, warranty, or endorsement of fitness for any specific purpose.
6.3 The Company shall not be liable for any damage to equipment, vehicles, systems, or any consequential losses arising from the Buyer’s selection or use of the Products.
7. Quality and Specification
7.1 Products supplied by the Company conform to the specifications stated in the product documentation at the time of supply. AdBlue® (AUS32) is supplied in accordance with ISO 22241.
7.2 Minor variations in colour, appearance, or batch characteristics that do not affect product performance are not grounds for rejection or refund.
7.3 The Company does not guarantee that Products are free from all impurities or that they will perform identically across all equipment types and operating environments.
8. No Warranty
All Products are sold without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by Malaysian law, the Company excludes all implied warranties including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Buyer accepts all risk associated with the use of the Products.
9. Limitation of Liability
9.1 The Company’s total liability to the Buyer under or in connection with any order shall not exceed the invoice value of the Products in dispute.
9.2 In no event shall the Company be liable for any indirect, consequential, incidental, or special loss or damage, including but not limited to loss of profit, loss of revenue, business interruption, equipment damage, or environmental liability, whether arising in contract, tort, or otherwise.
9.3 Nothing in these Terms limits liability for fraud or for death or personal injury caused by the Company’s negligence.
10. Returns and Refunds
Returns and refunds are governed exclusively by the Company’s Return & Refund Policy, which forms part of these Terms. All sales are final unless a valid claim is made in accordance with that policy.
11. Force Majeure
The Company shall not be in breach of these Terms nor liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, supply chain disruption, labour disputes, pandemics, or transportation failures. The Company will notify the Buyer as soon as practicable of any such event.
12. Intellectual Property
All content on the BlueDiesel website, including text, images, logos, and product information, is the property of the Company or its licensors. The Buyer may not reproduce, distribute, or use such content without written authorisation.
13. Confidentiality
Pricing, contract terms, and any proprietary information shared by the Company with the Buyer shall be treated as confidential and shall not be disclosed to third parties without the Company’s prior written consent.
14. Governing Law and Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia. The parties agree to attempt to resolve any dispute amicably before commencing formal legal proceedings.
15. Amendments
The Company reserves the right to amend these Terms & Conditions at any time. The version in force at the time of the Order shall apply to that Order. Continued use of the Company’s services following any amendment constitutes acceptance of the revised Terms.
